Terms of Use
AMBYL Holdings Pty Ltd (ACN 697 533 761) ("AMBYL", "we", "us", "our")

Please read these Terms of Use carefully before using the AMBYL platform. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
1. About AMBYL
AMBYL Holdings Pty Ltd (ACN 697 533 761) operates the AMBYL financial management platform, including our website at ambyl.com.au, our mobile application, and all related services (collectively, the "Services"). AMBYL is designed to help individuals organise, track, and manage recurring bills, subscriptions, and financial commitments.
AMBYL is a financial management and coordination platform. It is not a licensed financial adviser and does not provide personalised financial, investment, tax, or legal advice. Nothing on the AMBYL platform constitutes financial product advice under the Corporations Act 2001 (Cth).
2. Eligibility
To use the Services, you must:
- Be at least 18 years of age
- Be a resident of Australia
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Services under any applicable law
By using the Services, you represent and warrant that you meet these requirements.
3. Account Registration
3.1 Creating an Account
To access the full features of AMBYL, you will need to create an account. You agree to:
- Provide accurate, complete, and current information during registration
- Maintain the accuracy of your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorised access to your account at support@ambyl.com.au
3.2 Account Responsibility
You are responsible for all activity that occurs under your account. AMBYL will not be liable for any loss or damage resulting from your failure to maintain the confidentiality of your credentials.
3.3 Account Termination
You may close your account at any time by contacting us at support@ambyl.com.au. We may suspend or terminate your account if you breach these Terms, engage in fraudulent or illegal activity, or if we are required to do so by law.
4. The Services
4.1 Service Description
AMBYL provides tools to help you:
- Track and manage recurring bills, subscriptions, and financial commitments
- Receive reminders and notifications about upcoming payments
- View a consolidated picture of your recurring financial obligations
- (Where available) Connect financial accounts and initiate payments through accredited infrastructure
4.2 Service Availability
We aim to provide reliable, uninterrupted access to the Services. However, we do not guarantee that the Services will be available at all times, error-free, or free from interruptions. Scheduled maintenance, technical issues, or events beyond our control may affect availability.
4.3 Service Changes
AMBYL reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will endeavour to provide reasonable notice of material changes where practicable.
5. User Obligations
When using the Services, you agree not to:
- Violate any applicable law, regulation, or third-party right
- Use the Services for any fraudulent, deceptive, or unlawful purpose
- Attempt to gain unauthorised access to the AMBYL platform, systems, or data
- Introduce malicious code, viruses, or disruptive technology
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Scrape, harvest, or systematically extract data from the platform without our express consent
- Use the Services in any manner that could damage, disable, overburden, or impair the platform
6. Fees and Subscription
6.1 Free Tier
AMBYL offers a free tier that allows access to core bill tracking and management features. The features available on the free tier may change over time.
6.2 Paid Subscriptions
AMBYL may offer premium subscription plans with additional features. Where a paid subscription is offered:
- Pricing will be clearly disclosed before purchase
- Subscriptions may be billed monthly or annually, as selected at sign-up
- All fees are in Australian dollars (AUD) and are inclusive of applicable GST unless otherwise stated
- Subscriptions auto-renew unless cancelled before the renewal date
6.3 Cancellations and Refunds
You may cancel a paid subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period. AMBYL does not provide refunds for unused portions of a subscription period except where required by the Australian Consumer Law.
7. Financial Services Disclaimer
AMBYL is a financial organisation and coordination tool. The following applies to all use of the Services:
- AMBYL does not hold an Australian Financial Services Licence (AFSL) and does not provide financial product advice
- Nothing on the platform constitutes a recommendation to acquire, hold, or dispose of any financial product
- Bill tracking data and payment summaries are for informational and organisational purposes only
- You remain solely responsible for all financial decisions, payment obligations, and dealings with third-party billers
- AMBYL does not guarantee that payments facilitated through our platform will be received by billers by any particular date
If you require financial, investment, tax, or legal advice, you should consult a licensed professional.
8. Third-Party Services and Integrations
AMBYL may integrate with third-party services, including open banking infrastructure, payment rails, and data intermediaries. Your use of such integrations is subject to the terms and privacy policies of those third parties. AMBYL is not responsible for the practices, content, or availability of third-party services.
By authorising a third-party connection through AMBYL, you consent to the relevant data sharing and acknowledge that AMBYL is not liable for errors, outages, or losses attributable to those third parties.
9. Intellectual Property
9.1 AMBYL's Intellectual Property
All content, branding, software, designs, text, graphics, and features of the AMBYL platform are owned by or licensed to AMBYL Holdings Pty Ltd and are protected by Australian and international intellectual property laws. You must not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Services without our prior written consent.
9.2 Your Content
You retain ownership of any data or content you input into the AMBYL platform. By using the Services, you grant AMBYL a non-exclusive, royalty-free licence to use, process, and display your content solely to the extent necessary to provide the Services to you.
9.3 Feedback
If you submit ideas, suggestions, or feedback regarding the Services, you grant AMBYL a perpetual, irrevocable, royalty-free licence to use that feedback without restriction or compensation to you.
10. Privacy
Your use of the Services is also governed by our Privacy Policy, available at ambyl.com.au. The Privacy Policy is incorporated into these Terms by reference.
11. Limitation of Liability
To the maximum extent permitted by law, including the Australian Consumer Law:
- AMBYL's liability for any loss or damage arising from your use of the Services is limited to the greater of the fees paid by you in the 12 months preceding the claim, or AUD $100
- AMBYL is not liable for any indirect, incidental, consequential, special, or exemplary loss or damage, including loss of data, loss of revenue, missed payments, or late payment fees incurred with third parties
- AMBYL does not exclude or limit liability where it would be unlawful to do so, including for death or personal injury caused by negligence, fraud, or statutory consumer guarantees that cannot be excluded
12. Australian Consumer Law
Certain legislation, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), may imply guarantees, conditions, or warranties that cannot be excluded. Where such guarantees apply, AMBYL's liability is limited (to the extent permitted by law) to:
- Re-supplying the relevant Services; or
- Paying the cost of having the Services re-supplied
13. Indemnification
You agree to indemnify and hold harmless AMBYL, its officers, employees, and agents from and against any claims, damages, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Services in breach of these Terms
- Your violation of any third-party right
- Any content or information you provide through the Services
14. Dispute Resolution
14.1 Informal Resolution
If you have a dispute with AMBYL, we encourage you to contact us first at support@ambyl.com.au. We will work in good faith to resolve the matter within 30 days.
14.2 Governing Law
These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and, where applicable, the Federal Court of Australia.
14.3 External Dispute Resolution
If a dispute cannot be resolved informally, you may be able to seek resolution through the Australian Financial Complaints Authority (AFCA) or other applicable dispute resolution body, depending on the nature of the services involved.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies we publish, constitute the entire agreement between you and AMBYL regarding your use of the Services.
15.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force.
15.3 No Waiver
AMBYL's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign your rights under these Terms without AMBYL's prior written consent. AMBYL may assign its rights to a successor entity in connection with a merger, acquisition, or sale of assets.
15.5 Force Majeure
AMBYL will not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, government action, communications failures, or third-party service outages.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you via email or a notice within the platform. Your continued use of the Services following notice of changes constitutes acceptance of the updated Terms.
